Linda E. Carlisle*, Anthony G. Provenzano,* and David W. Zimmerman will be speaking at a Practising Law Institute's (PLI's) seminar titled "Tax Strategies for Corporate Acquisitions, Dispositions, Spin-Offs, Joint Ventures, Financings, Reorganizations & Restructurings 2016" on October 18, 2016.
Carlisle will co-chair the seminar and will present, as part of a panel, "Interesting Transactions of the Past Year." Panelists will review recent M&A transactions.
Provenzano will present, as part of a panel, "Dealing with Restricted Stock, Stock Options and Executive Compensation in Corporate M&A Transactions." Panelists will discuss several topics including compensation issues in M&A transactions, treatment of outstanding equity-based awards and tax issues in assuming or eliminating deferred compensation in an acquisition.
Zimmerman will present, as part of a panel, "Tax Strategies for Financially Troubled Businesses and Other Loss Companies." Panelists will discuss topics such as equity for debt exchanges and ownership changes under Section 382, COD/OID/AHYDO, Section 108 and 382-related guidance and strategies for acquisitions of loss companies.
