In this article, John Davis and Kathryn Cameron Atkinson discuss the recently released Resource Guide to the Foreign Corrupt Practice Act (Guide), and note topics of particular importance in the mergers and acquisition context. Developed as a response to calls by several groups for interpretive clarity, the Guide addresses most of the FCPA issues of interest to the dealmaking community, though it does not go as far as some have advocated.
